1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a binding legal agreement between the client or purchaser (“Client”, “Buyer”, or “you”) and Fortuna Control & Automations Pvt. Ltd. (“Fortuna”, “Company”, “we”, “us”). By utilizing this website, requesting technical proposals, or issuing purchase orders for our physical security hardware and automated perimeter barriers, you agree to comply with and be bound by these Terms.
2. Scope of Equipment & Services
Fortuna manufactures, engineers, supplies, and commissions physical security and access automation infrastructure, including but not limited to:
- Automatic, fixed, and shallow-mount crash-rated bollards (PAS 68 / IWA 14-1).
- Heavy-duty hydraulic and electro-mechanical road blockers and tyre killers.
- High-throughput optical speed gates, flap barriers, and full-height turnstiles.
- High-cycle automated boom barriers with integrated ANPR/RFID readers.
- Smart multi-level parking management systems and automated guidance systems.
- High-power anti-smog water mist dust suppression systems.
- Integrated IP surveillance, facial recognition biometrics, and perimeter fencing.
3. Quotations, Tenders & Orders
All formal quotations, price estimates, and tender submittals issued by Fortuna are governed by the following commercial conditions:
- Validity: Standard engineering quotations remain valid for thirty (30) calendar days from issuance unless explicitly indicated otherwise in writing, subject to raw material (steel, hydraulic components) price fluctuations.
- Taxes & Duties: All rates are quoted net of Goods and Services Tax (GST) or relevant local value-added taxes (VAT in UAE/GCC regions), which will be charged at statutory rates on billing.
- Order Confirmation: An order is deemed accepted only upon issuance of a formal written Order Confirmation by Fortuna and receipt of the stipulated advance deposit.
4. Civil Works & Site Readiness
Effective operation and structural impact ratings of HVM barriers and bollards depend on precise foundation engineering:
- Civil Sub-Base: Unless turnkey civil engineering is specifically contracted to Fortuna, the Client is responsible for trenching, concrete rebar reinforcement (M30/M35 grade), drainage soakaways, and underground utility clearance in strict accordance with Fortuna’s approved foundation drawings.
- Power & Cabling: Stable electrical supply (single-phase or 3-phase, as specified in technical datasheets) terminating at the designated Hydraulic Power Unit (HPU) cabinet must be arranged by the client prior to commissioning.
- Handover Testing: Commissioning protocols include functional impact barrier cycle tests, emergency fast operation (EFO) verification, and operator training.
5. Equipment Warranty & AMC
Fortuna provides OEM warranty coverage against manufacturing defects in materials and workmanship:
- Standard Warranty Period: Twelve (12) months from the date of handover/commissioning or fifteen (15) months from date of dispatch, whichever occurs first.
- Exclusions: Warranty does not cover normal consumable wear (hydraulic fluid, drive belts, seal degradation from abrasive dust), damage caused by vehicular ramming/tampering, electrical voltage surges, lightning strikes without client surge protection, or unapproved third-party modifications.
- Annual Maintenance Contracts (AMC): Extended warranty, quarterly preventative maintenance visits, and emergency SLA breakdown callouts are available under comprehensive and non-comprehensive AMC agreements.
6. Intellectual Property & Designs
All engineering blueprints, proprietary hydraulic schematics, microprocessor firmware algorithms, CAD files, product photography, and marketing literature developed by Fortuna remain the exclusive intellectual property of Fortuna Control & Automations Pvt. Ltd.
No license, transfer, or right to reverse-engineer or duplicate our crash barrier structural internal mechanisms is granted to clients, contractors, or third parties.
7. Crash Standards Compliance
Fortuna’s high-security crash systems are engineered and tested to recognized international Hostile Vehicle Mitigation standards, including PAS 68:2013, IWA 14-1:2013, and ASTM F2656.
Stated impact certifications are valid only when equipment is installed in precise compliance with certified foundation depth, steel reinforcement, and concrete curing criteria. Any unauthorized modification to mounting foundations voids manufacturer impact certification.
8. Limitation of Liability
To the maximum extent permissible under applicable law, Fortuna’s total cumulative liability arising out of any supply or service contract shall not exceed the total contract value actually paid by the Client for the specific equipment giving rise to the claim.
In no event shall Fortuna be liable for indirect, incidental, punitive, or consequential commercial damages, loss of business revenue, or downtime resulting from barrier actuation or third-party vehicle impact.
9. Governing Law & Jurisdiction
These Terms, along with any commercial dispute or tender arbitration, shall be governed by and construed in accordance with the substantive laws of the Republic of India.
The competent courts located in Gurugram, Haryana, India shall possess exclusive jurisdiction to adjudicate any legal proceedings arising hereunder. For projects executed via our UAE entity, commercial disputes shall be subject to the jurisdiction of the courts of the Emirate of Dubai.
